Spencer Fane Real Estate attorneys help individuals and companies across a spectrum of industries to understand and manage risk as they decide whether to proceed with a transaction opportunity related to the purchase, sale, and exchange of real estate.
Our extensive Real Estate practice benefits clients nationwide who utilize our group’s depth of knowledge regarding the industry and trends in this sector of law. Our attorneys possess broad experience enabling us to provide a unique perspective on real estate transactions, and we routinely leverage attorneys specializing in other practice areas, including Banking and Financial Services, Tax Credits, and Business Transactions when necessary to assist in efficiently closing the best possible transaction.
We work with developers, residential, commercial, hotel and multi-family developments, as well as corporate clients with transactions that involve the purchase or sale of real property. In addition to acquisition and disposition, our team has handled sophisticated like-kind exchanges under Section 1031 of the tax code on a national basis, and we handle all facets of opportunity zone projects.
We provide support in a wide-range of transactions involving raw land, partially developed property, commercial buildings, office buildings, retail shopping centers, hotels and resorts, medical and research facilities, industrial facilities, manufacturing facilities, warehouses, apartment complexes, student housing, condominiums, senior housing, independent and assisted living, and single-family developments. We also represent landlords and tenants in lease matters, including ground leases and sale-leaseback transactions.
Our attorneys help clients structure their transactions, hold title in real estate purchases, negotiate terms, work through due diligence, and review financing documents. We sort through and identify potential issues related to conventional or takeback financing, surveys, plats, subdivisions, titles, or environmental issues. When it’s time to close the transaction, our team prepares authorizing resolutions, reviews updated title work, prepares closing statements, and reviews all financing materials.
Our goal is to close deals as efficiently and smoothly as possible while providing value-added service to our clients. We provide counsel on the structure of ownership entities and transaction issues in order to minimize risk and maximize benefits. In the event favorable terms can’t be reached, we advise clients to consider more viable solutions or alternatives to meet their real estate needs.
