Mergers & Acquisitions

From small business deals to multi-billion-dollar transactions, Spencer Fane Mergers & Acquisitions attorneys work with buyers and sellers — or potential buyers and sellers — to complete business transactions in a manner that achieves business objectives while instilling confidence that all details have been appropriately considered and vetted.

No two business deals are alike. Likewise, the parties’ objectives in each deal are different. Our attorneys have worked on hundreds of unique transactions to achieve the best outcomes for a wide variety of clients in a productive and cost-effective manner. This includes buyers looking for acquisition targets and sellers moving a business due to financial distress or other involuntary proceedings.

Our M&A team utilizes all appropriate Spencer Fane cross-discipline resources to address issues related to tax, employee benefits, intellectual property, environmental liability, and more. This is done with a clear understanding of the urgency presented in each step of often fast-moving business transactions and a commitment to being nimble and detail-oriented in handling deals of all sizes.

We deliberately staff all M&A matters for what a client needs — no more and no less.

We regularly advise both publicly traded and private companies on acquisitions, divestitures, mergers, restructurings, leveraged buyouts, and joint ventures. We counsel domestic and international businesses across dozens of industries, including information technology, heavy industry, construction, health care, telecommunications, entertainment and gaming, financial services, and others.

For clients considering whether a sale or acquisition may be the next step in their business, our attorneys offer pre-transaction counseling, and our team maintains relationships with appraisers, business brokers, and financing sources, allowing us to assist with all types of corporate finance options. We then guide buyers and sellers through due diligence and legal reviews of offer sheets and purchase, sale, and merger agreements to ensure that all applicable legal issues are thoroughly analyzed.

We have a unique experience with representations and warranties insurance. Our team frequently monitors deals for underwriters, providing insight into market trends and best practices that informs not only our work for those underwriters or for M&A clients considering such a policy, but also our work on other M&A transactions.

We remain cognizant of owner- and Board-level governance issues that arise in the context of a proposed transaction and of the regulatory needs related to a transaction, including matters related to antitrust, tax, securities, and operational considerations. This gives clients confidence that all details have been handled, including in the crucial time period between signing and closing.
