Spencer Fane attorney Suzanne Odom will present at the American Bar Association (ABA) Business Law Section’s 2024 LLC Institute on November 8 in Tampa, Florida.
Hosted by the ABA LLCs, Partnerships and Unincorporated Entities Committee and Stetson Law School, this November 6-8 event will provide legal professionals nationwide with top-tier Continuing Legal Education (CLE), networking, and dining opportunities. Suzanne will join three other legal thought leaders for the CLE session, The Ever-Expanding Consequences of Bartenwerfer v. Buckley.
This session will focus on the February 2023 U.S. Supreme Court decision that held that an innocent general partner who had imputed liability on a partnership debt for money obtained by fraudulent acts of another partner was not entitled to a discharge in the innocent partner’s Chapter 7 Bankruptcy Code proceeding. The panel will discuss the opinion and the implications addressed in a concurring opinion that may expand the reach of Bartenwerfer to such relationships as tenancies in common, an innocent spouse in a Community Property state, and even a director who gets tagged with liability on a corporate debt resulting from fraudulent acts of a co-director.
