Spencer Fane Grows Health Care Practice with Addition of 6 Attorneys

Spencer Fane is pleased to announce the addition of Partners Brett Bogan, Donn Herring, Andy Ramirez, Julie Roth, and Of Counsel Stacy Harper and Reed Williams to the firm’s Health Care practice effective October 16, 2017.

Two of the area’s highly experienced health care groups are joining forces with a shared mission to effectively serve community and rural hospitals, physician groups, and other providers throughout the region.

Brett, Stacy, Andy, Julie, and Reed join the firm’s Overland Park office while Donn joins the St. Louis-Clayton office.

About the attorneys:

Brett Bogan helps leaders in the health care industry with all types of business transactions, including those for corporations, limited liability companies, and partnerships. With more than 20 years of experience, along with Andy Ramirez, Brett has twice helped facilitate the largest private hospital acquisition in Kansas City. Additionally, he has represented clients through mergers and acquisitions, joint ventures, bank financings and public and private stock offerings.

Stacy Harper counsels healthcare organizations on regulatory compliance, reimbursement, and data security issues. Using her prior experience as a healthcare compliance officer, she develops strategies for clients to mitigate risk and improve compliance. Stacy assesses risks and develops plans for healthcare providers, health plans, and employer sponsors of self-insured health plans to coordinate data privacy, data security, and data breach response in accordance with HIPAA, HITECH and state data laws.

Donn Herring helps hospitals, physicians, and other health care providers with a full range of business and regulatory issues. His experience includes physician integration, provider network development, HIPAA compliance program development and voluntary compliance program development. He also has extensive experience helping public non-profit 501(c)(3) organizations through employment, legal, regulatory and tax issues.

Andy Ramirez helps directors, trustees, and administrators of hospitals and pharmacies navigate a wide range of complex issues facing the healthcare industry. With more than 30 years of experience, Andy works closely with regional and national health care associations and has negotiated a number of commercial transactions. He also served as counsel while aiding in the largest private hospital acquisitions in Kansas City in 2013 and 2015.

Julie Roth leads healthcare providers through a variety of transactional and regulatory matters. She represents large health systems, hospitals and physician practices with the sale, acquisition, and development of complex joint ventures. With more than 15 years of experience, Julie regularly helps her clients by negotiating and drafting hospital-physician affiliation documents, such as service and employment agreements.

Reed Williams helps healthcare providers in matters related to corporate governance, contractual obligations, and management issues. He regularly aids in drafting bylaws, risk management policies and other internal documents. He has drafted a wide variety of corporate and transactional agreements, which include physician-employment agreements, independent contractor arrangements, and management agreements.
