Overview

Zackary G. Smith represents public and privately held companies in industries including construction, manufacturing, oil and gas, and real estate with general and complex commercial litigation matters, arbitrations, and administrative proceedings in jurisdictions throughout the country.

Before joining Spencer Fane, Zack was associate general counsel at one of the largest design-build general contractors in the nation. In this role, Zack managed and supervised global litigation strategy and was responsible for negotiating and drafting various commercial agreements and construction contracts.

Zack has also advised corporations on marketing and sweepstakes regulations, corporate governance, and trademark law. Additionally, he has represented clients in toxic tort litigation.

Zack received his undergraduate degree at Lindsey Wilson College where he also served as a congressional intern for the U.S. House of Representatives. While earning his Juris Doctor at Washington University School of Law, Zack worked with the Urban Revitalization Clinic, where he assisted in research on the laws and policies of the St. Louis Board of Alderman redistricting, and on the Children’s Rights Clinic, where he represented juveniles involved in a variety of legal matters, including arguing a bench trial in an adoption case.

  • Advised and managed matters regarding mechanic’s lien enforcement and breach of contract actions for a large design-build company.
  • Negotiated and drafted various general contractor and subcontract agreements for a large design-build company.
  • Successfully defended a major oil and gas company in federal court against claims of alleged breaches of a franchise agreement and purported violations of the Petroleum Marketing Practices Act.
  • Advised major oil and gas company regarding the legal implications of its gasoline marketing promotions, including analysis of state sweepstakes and promotions laws.
  • Lead attorney defending a wholesale distributor of PPE and janitorial supplies in federal court regarding a breach of contract and fraud litigation.
  • Defended a major shoe retail company in connection with a commercial lease lawsuit arising out of St. Louis County’s COVID-19 stay at home order.
