Ed Holderle assists nonprofit organizations, ranging from health and social services organizations to colleges, universities, churches, and other faith-based entities, in the areas of corporate law, transactional law, public finance, and real estate.

Ed assists nonprofit clients in obtaining, documenting and restructuring both traditional bank financing and publicly offered and privately placed taxable and tax exempt bonds, including many forms of credit debt. His business training and years of experience assisting nonprofit organizations helps him understand the special needs of his nonprofit clients and interpret those needs to lenders and others to get clients’ financing transactions closed promptly and efficiently.

Ed handles general business and transactional matters for nonprofit clients, including the sale, acquisition and lease of real estate, preparation of contracts and agreements, regulatory compliance issues, mergers, and the acquisition and sale of business interests, and review of insurance coverage. He counsels his nonprofit clients on general business matters unique to them such as tax exemptions, unrelated business income issues and corporate structure, restructuring and corporate governance issues.

Ed works with colleges, universities and seminaries to review and document all forms of business transactions, including faculty contracts, vendor contracts, student agreements and distance education agreements, and to assist with regulatory and governmental compliance issues. Ed also assists higher education clients in the development and documentation of partnerships to offer unique educational programs both inside and outside the United States.

Ed assists his nonprofit clients in matters related to compliance with donor restrictions on gifts and, when such compliance is no longer feasible, with the administrative and legal processes necessary to repurpose those gifts.
