Every acquisition (or divestiture, from the seller’s perspective) has its own unique twists and turns. This presentation addresses six situations that give “character” to any transaction in which they arise. These common challenges are not necessarily related to one another, so there is no good way to bind them into a cohesive whole. As a result, we will address them as discrete subjects. Each topic deserves its own hour-long block (or more), but the goal of this presentation is to cover all of them in an hour and a quarter from a practical perspective. Rather than trying to give an overview of all the issues involved in any of these areas, we will focus on specific aspects of each area, which will allow for a more meaningful discussion than a broad summary would provide.
