MERGERS AND ACQUISITIONS

We regularly advise clients in connection with acquiring, divesting or restructuring businesses. In any particular transaction, the business may be closely-held or publicly-traded, domestic or international; our client may be the acquirer or the target, a financial adviser, a lender, an investor, a special committee of the board of directors, or another interested party; and the transaction may take the form, for example, of a merger, an asset or stock sale, a leveraged buyout, a joint venture, a bankruptcy reorganization, or a spin off.

We have clients in many different industries – information technology, heavy industry, construction, healthcare, telecommunications, entertainment and gaming, financial services and others. In each transaction, we bring to bear the relevant expertise, drawing on lawyers throughout our firm, and providing integrated, whole-cloth advice to our client. Most transactions involve corporate, tax and securities matters, for example, but, often, other issues come into play, such as intellectual property, employees and employee benefits, product and environmental liabilities, and regulatory compliance. By providing a coordinated and full-range complement of services, we aim to achieve the client’s goals in the simplest and most cost-effective way.
